Valkyrie Capital Partners · GenevaTokenisation project lead

We did it
for ourselves
first.

Nous l’avons fait d’abord pour nous.

Before advising any company, our group structured its own holding and tokenised its own participation certificates. Today we make that path available to unlisted Swiss companies.

IWhy

Manifesto

Explaining tokenisation is easy. Having actually done it is rarer.

Before offering anything to a company, our group went down the path itself.

SwissChain structured its holding, issued its own participation certificates as ledger-based securities via Aktionariat, opened its register, and faced the questions a director really asks: legal matters, costs, timelines, governance, holders.

What we took from it is a method, not a theory.

It is the only promise we make: never to advise you on a step we have not understood from the inside. And to tell you when a step is not right for you.

Our name comes from those who choose and who accompany. We choose our projects carefully, and we see them through to the end.

We do not ask you to take our word for it. We invite you to look at what we have done.

IIHow

The first project was our own.

What SwissChain actually did for itself, in order, before Valkyrie offered it to other issuers. No confidential figures: only the steps completed.

1

Structure the group

SwissChain structured its holding: group organisation, articles of association, governance. It is a prerequisite we find in every project: only what is well structured can be tokenised well.

2

Choose the instrument

The group chose participation certificates: securities that carry financial rights without voting rights. They let new holders take part without changing the balance of control.

3

Amend the articles of association

The basis in the articles for participation capital and for issuing ledger-based securities, decided by the competent corporate bodies with the group’s legal advisers.

4

Tokenise via Aktionariat

Issue of the participation certificates as ledger-based securities (art. 973d of the Swiss Code of Obligations) via Aktionariat: registration agreement, digital register, app for holders.

5

Open the register

Holder registration, identity checks, transfers recorded on the digital register. Holders’ practical questions shaped the way we inform.

6

Turn it into a method

Every step was documented: legal, technical, costs, timelines, sticking points. That log became the method Valkyrie Capital Partners now applies for other issuers.

Method principlesWhat experience taught us

One project lead.

One contract, one project manager, one roadmap. We coordinate lawyers, auditors, the tokenisation provider, KYC and protocols. Regulated work stays with regulated professionals.

Choose.

We only take on projects we know how to deliver, and we choose partners in your interest, with any business ties disclosed.

In Old Norse, valkyrja means “she who chooses”.

Accompany.

From assessment to register, from register to public price, from public price to unlocking value: we stay to the end, and for the long term.

Show.

Steps, timelines, fees and prerequisites are published. We show what we have done rather than explain what might work.

Tested before
being offered.

Each service below was first applied to the SwissChain group, or grew out of that work.

IIIWhat we do

The same path, for your company.

What our group did for itself, we run for you: clearly scoped engagements, coordinated by a single team.

01

Five steps that reinforce one another.

A well-structured security can be tokenised; a tokenised security gains a public price; a public price makes it possible to unlock its value. The growth this finances in turn strengthens the security’s value.

01

Structure

Articles of association, choice of instrument, governance and documentation, with your legal and tax advisers.

02

Tokenise

Shares, participation certificates or bonds issued as ledger-based securities.

With Aktionariat
03

Public price

A primary market and a structured secondary market between holders: a visible reference price. It is not a stock exchange.

04

Liquidity

Subject to conditions, tokenised securities serve as collateral to obtain digital francs (ZCHF): alternative financing, without dilution.

With Frankencoin
05

Listing

If the issuer wishes: preparation for admission to an authorised trading venue or a stock exchange.

Optional
02

A single engagement or the full journey.

Each service stands on its own and prepares the next. Most projects begin with an assessment.

03

For issuers who take their capital seriously.

Established, often profitable companies that want to broaden their shareholder base, modernise their register or finance their growth differently.

04

What directors ask us first.

1

Are you a bank or a law firm?

No. We are a strategic adviser and project lead. Regulated services (legal advice, audit, banking, custody) are provided by the specialist partners we coordinate.

2

What exactly did SwissChain do for itself?

It structured its holding, then issued its participation certificates as ledger-based securities via Aktionariat and opened the register to holders. That experience is the basis of our method.

3

What is a “public price”?

Once tokenised, your securities can be offered on your dedicated page (primary market) and traded between holders on a structured secondary market. The transactions form a visible reference price. It is not a stock-exchange listing.

4

How does collateral-based liquidity work?

Tokenised securities can be deposited as collateral in a Frankencoin protocol position in exchange for digital francs (ZCHF). Interest is paid upfront, a reserve is held back, and the securities are returned on repayment. Whether a security is accepted depends on strict criteria: published accounts, profitability, free float, public price.

5

Do you guarantee a listing or financing?

No. Admission decisions rest with the platforms and protocols concerned. What we guarantee is professional preparation and coordination.

6

What does a first step cost?

A tokenisation assessment takes two to four weeks, from CHF 10,000.

Every project starts with an assessment.

Tell us about your company and your goals. We show you what tokenisation, a public price and unlocking the value of your securities would involve in practice, before any commitment.
